VerCredX Terms of Use and Privacy Policy
1. Introduction – Scope and Acceptance. VerCredX’s Terms of Use (Terms of Service) are a legal agreement between VerCredX (“we,” “us,” or “our”) and you (“you” or “your”) governing your access to and use of our website and services. By using the VerCredX website or services in any way, you agree to comply with these Terms and any posted policies (including our Privacy Policy). A privacy policy is a statement describing how a party collects, uses, and manages personal data, and our Privacy Policy (below) governs personal information. If you do not agree to these Terms or the Privacy Policy, you may not use the VerCredX site. VerCredX may modify these Terms at any time; by continuing to use the site, you agree to be bound by the updated Terms. (Users are typically notified of term changes via email or website notice.)
2. Description of Service. VerCredX is an early-stage climate initiative focused on developing nature-based carbon projects (e.g. reforestation, agroforestry) in Africa. At present, no carbon credits or offsets are being issued; projects are still under development and any carbon credits would only be issued when verified (for example, one agroforestry project is projecting issuance by 2029 at ~$19 per tonnes). Our site currently provides information about these projects and related climate education. In the future, VerCredX plans to offer a marketplace where users can “purchase when issued” – i.e. commit funds toward carbon credits once they are officially registered. Any such future sales will be governed by these Terms and any additional terms at the time of sale. All project details (names, expected volumes, issuance dates, prices, co-benefits like local jobs and clean water shown in the image above) are estimates and subject to change. You acknowledge that using the site is at your own initiative; any decision to participate in carbon offset purchases will be at your own risk.

3. Accounts and Access. Some parts of the site may require you to create an account. You agree to (a) provide accurate, complete registration information; (b) keep your password secure; and (c) notify VerCredX promptly of any unauthorized use of your account. You are responsible for all activities conducted under your account. VerCredX reserves the right to refuse service, terminate accounts, or deny access to anyone at any time, for any reason or no reason.
4. Volunteer and Program Participation. VerCredX intends to involve local youth and women through both volunteer and paid programs in its climate projects. Participation in volunteer programs is on a voluntary basis; volunteers are not employees and are not entitled to wages, only any stipends or benefits explicitly provided for that program. Paid programs (internships, apprenticeships, jobs) will be governed by separate agreements. In either case, participants may receive training or certification via VerCredX and our partner organizations. Eligibility and rules for these programs will be explained when they launch. (These Terms of Use apply to all participation in VerCredX programs.)
5. Prohibited Conduct. You agree not to misuse the VerCredX site or engage in prohibited activities. For example, common prohibitions include:
- Illegal or Unethical Behavior: You may not use the site for any illegal purpose (e.g. violating any laws or regulations) or any activity that harms others.
- Abusive Content: You may not post content that is obscene, defamatory, hateful, harassing, threatening, fraudulent, false, misleading, or infringing others’ rights (intellectual property, privacy, etc.).
- Spam and Malware: You may not engage in spamming (unsolicited messaging), phishing, hacking, or distributing malware. You may not try to tamper with the site or its security.
- System Abuse: You may not attempt to overload, disrupt, or interfere with the site (such as through denial-of-service attacks) or bypass any technological measures.
- Impersonation and Unlawful Data: You may not impersonate any person or entity, or falsely claim an affiliation with anyone. You must not use the site to collect personal data about others without their consent.
These examples align with typical “acceptable use” clauses. VerCredX may remove or refuse any content or activity that violates these rules.
6. Intellectual Property. The VerCredX name, logos, graphics, text, images, and all content on the site (the “Content”) are owned or licensed by VerCredX and are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited license to access and use the Content for personal, non-commercial purposes only. You may not copy, reproduce, modify, distribute, sell, or create derivative works without VerCredX’s prior written consent. Unless expressly stated, VerCredX does not grant any rights or licenses to its intellectual property. VerCredX and its licensors retain all rights in the Content.
7. Third-Party Links and Content. The VerCredX site may contain links to third-party websites, services (e.g. Verra registry, social media, partner sites), or embedded content. These links are provided for convenience and do not imply endorsement. VerCredX is not responsible for the content, privacy policies, or practices of any third-party sites. When you click a link, you leave our site, and any activity on the external site is governed by that site’s policies.
8. No Warranties; “As Is” Service; Disclaimers. VerCredX provides the sit and services on an “as is” and “as available” basis. We make no guarantees or warranties about the reliability, availability, or accuracy of the site. We expressly disclaim all implied warranties (including merchantability, fitness for a particular purpose, non-infringement, accuracy). For example, VerCredX does not warrant that: (a) the information on the site is complete or error-free; (b) the site will operate without interruption; or (c) any results will be achieved by using the site. You agree that use of the site is at your sole risk – i.e. you accept that you may encounter problems and cannot hold us liable for them.
9. Limitation of Liability. To the fullest extent permitted by law, VerCredX and its officers, directors, employees, agents, and affiliates will not be liable for any damages arising out of or related to your use of the site or our services, even if foreseeable. This includes (without limitation) any direct, indirect, incidental, special, consequential, or punitive damages (such as loss of profits, data, goodwill, or business interruptions). In other words, VerCredX’s liability is limited to the extent permitted by law, and you assume full responsibility for any loss that may result from your use of the site.
10. Indemnification. You agree to indemnify, defend, and hold harmless VerCredX and its affiliates from any claims, losses, liabilities, and expenses (including attorneys’ fees) arising from your use of the site, your violation of these Terms, or your violation of any rights of a third party.
11. Termination: We may suspend or terminate your account and access if you violate these Terms or for any other reason. If terminated, you must stop using the Platform and settle any outstanding obligations. The sections on disclaimers, limitation of liability, and user obligations will survive termination.
12. Governing Law and Dispute Resolution. These Terms are governed by and interpreted under the laws of Nigeria (where VerCredX is based). Any dispute arising from or relating to these Terms or the site shall be resolved by the courts of Nigeria. (A “Governing Law” clause like this declares which jurisdiction’s laws apply.) If any provision is found unenforceable, the remainder shall remain in full force.
13. Changes to Terms. VerCredX may change these Terms at its discretion. We will post the updated Terms on the site with a new effective date. It is your responsibility to review these Terms periodically. Continued use of the site after changes indicates acceptance. (According to studies of site agreements, many terms include notice of modifications.)
